1. Acceptance of Agreement

1.1 This Agreement is entered into by and between you (hereinafter referred to as "User" or "you") and Arashi Vision Inc and its global affiliates. (hereinafter referred to as "Insta360" or "we") regarding your use of the "Spatial Capture" feature (hereinafter referred to as "this Feature") in Insta360 products and the App.

1.2 This Feature is optional. Before enabling this Feature for the first time, you need to log in to your Insta360 App account and read carefully, fully understand, and agree to all the terms of this Agreement. Clicking "Agree and Enable" (or a button with a similar meaning) indicates that you have accepted this Agreement.

1.3 If you do not agree with any content of this Agreement, you may choose not to enable this Feature, which will not affect your use of other basic features of Insta360 products and the App.

2. Description of the Feature

2.1 By collecting and processing relevant data, this Feature provides you with a 3D reconstruction service based on data collected by panoramic cameras. Using this Feature can further unlock the spatial value of panoramic content, upgrading the experience from merely "viewing a picture" to "entering the scene," allowing you to browse, display, and share within a 3D space.

2.2 Using this Feature requires an internet connection and requires you to log in to your Insta360 app account so that the Feature operates properly and the processing results can be associated with your account.

2.3 Insta360 reserves the right to modify the scope of application and conditions of use for this Feature at any time, including but not limited to adjusting the scope of applicable footage, user/account eligibility, monthly quota allocation, validity rules, and consumption methods. Such adjustments will take effect on the date of publication as announced on this page or via in-app notifications.

3. Data Collection, Use, and Entrusted Processing

3.1 Scope of Data Collected. To fulfill this Feature, we will collect the following information:

　• Spatial/environmental image or video data;

　• Sensor data (such as depth, position, orientation/pose, etc.);

　• Account identifier information (used to associate processing results);

3.2 Entrusted Processing by External Vendors. You understand and agree that to realize this Feature, the aforementioned data will be sent to an external processing vendor, Remy Innovation Technology (Shenzhen) Co., Ltd. (hereinafter referred to as "Remy"), for processing. As the processor/entrusted party, Remy processes data strictly in accordance with our instructions and for the purposes agreed upon in this Agreement, and shall not use it beyond this scope.

3.3 Purpose and Method of Processing. Remy processes the data solely for the purpose of providing this Feature to you, including 3D reconstruction, algorithmic calculations, and result generation. Once processing is complete, the results will be returned to the Insta360 app for your use.

3.4 Data Retention and Deletion. After the processing results are successfully returned to Insta360, Remy will delete the original data within 24 hours.

3.5 Data Security. We have signed a data processing agreement with Remy, requiring them to implement security measures such as encrypted transmission and access control to safeguard your data security.

4. Data Storage and Cross-Border Transfer

4.1 You understand and explicitly agree that the data involved in this Feature may be transferred to Remy's servers located in Europe, the United States, or Southeast Asia, for short-term processing.

4.2 We have fulfilled compliance procedures in accordance with applicable laws regarding such cross-border transfers, including Notification Obligations/DPIA/Execution of SCCs/Relevant Regulatory Mechanisms.

5. Your Rights

5.1 If you do not wish to continue using this Feature or do not agree to the current or future updated terms of this Agreement, please do not attempt to initiate new spatial generation tasks.

5.2 You have the right to access, copy, or delete relevant data created through your use of this Feature, or to withdraw your consent. The withdrawal of consent does not affect the lawfulness of processing based on consent before its withdrawal. Upon withdrawal, we will cease the corresponding data processing.

6. Disclaimer and Liability

6.1 The processing results of this Feature are for reference only. The generated quality is determined by combined factors such as the quality of user-uploaded input and Remy's generation algorithms, and shall not serve as a basis for professional or other special purposes. Insta360 makes no guarantees regarding the effect and quality of the generated 3D spaces or space-derived assets.

6.2 For service interruptions caused by force majeure, network failures, or third-party reasons, we will endeavor to restore service, but to the extent permitted by law, we shall not bear corresponding liability.

6.3 User Content and Compliance

(1) You may not upload, post, publish, transmit, share, store, or otherwise make available any content that violates applicable law, these Terms, our policies, or the rights of any third party. Prohibited content includes, without limitation, content that is unlawful, infringing, defamatory, obscene, pornographic, sexually explicit, abusive, hateful, harassing, discriminatory, violent, fraudulent, misleading, threatening, invasive of privacy, or otherwise harmful or objectionable, as well as content involving terrorism, extremism, child sexual abuse or exploitation, illegal drugs, unlawful gambling, or any other prohibited activity.

(2) You represent and warrant that you own or control all rights necessary to submit such content, or have obtained all required licenses, consents, and permissions, and that your content does not violate any applicable law or infringe any third party’s intellectual property, privacy, publicity, data protection, or other legal rights.

(3) You are solely responsible for your content and any consequences arising from it. To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Insta360, its affiliates, service providers, partners, and users from and against any claims, liabilities, damages, losses, fines, penalties, and expenses (including reasonable legal fees) arising out of or related to your content or your violation of these Terms, our policies, or applicable law.

(4) Insta360 reserves the right, in accordance with applicable law, to review, remove, block, restrict, or disable access to any content, and to suspend or terminate related accounts or services, if we reasonably believe such content may violate applicable law, these Terms, our policies, or third-party rights. We may also preserve relevant records and cooperate with law enforcement authorities, regulators, or other competent authorities where required or permitted by applicable law.

7. Amendments to the Agreement

7.1 We may update this Agreement from time to time. In the event of material changes to the Agreement, we will notify you via in-app messages, push notifications, or other methods, and obtain your consent again where necessary.

8. Other

8.1 If you reside inside the European Union, these Terms and any action related thereto will be governed by the laws of the Member State where you are domiciled. In case of a dispute the competent courts of the Member State where you are domiciled will have jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

If you reside outside of the European Union, these Terms and any action related thereto will be governed by the laws of the State of California without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents or other intellectual property rights will be the state and federal courts located in the Central District of California and each of the parties hereto waives any objection to exclusive jurisdiction and venue in such courts. You are also protected by any mandatory provisions in the laws of the country/region in which you reside. Nothing in this Agreement (including the preceding paragraph) will affect your rights as a consumer to rely on mandatory provisions in your local law.

If you are not satisfied with our response, especially if our processing of personal information has harmed your legitimate rights and interests, you may also file a complaint or report to the regulatory authority in your area.
